Pilot Terms of Service

These pilot terms govern use of Terminal (the "Service") operated by Calabash Financials, Inc. ("Calabash") during the pilot period. By signing up, you (the "Customer") agree to these terms.

1. Pilot scope

The pilot is a no-fee evaluation of Terminal for up to ninety (90) days from the date of your tenant activation. During the pilot you may configure tenants, publish allocations to your TAS provider, and receive bill-of-lading data subject to the technical limits stated in your tenant dashboard.

Calabash may extend the pilot or convert it to a paid arrangement by mutual agreement. Either party may terminate the pilot at any time on five (5) business days notice. On termination Calabash will export your tenant data on request.

2. Acceptable use

  • You will not use the Service to violate any law or third-party right.
  • You will not attempt to reverse engineer, decompile, or circumvent the Service's technical controls.
  • You will not introduce malware or attempt to gain unauthorized access to other tenants.
  • You will not exceed the documented technical limits without prior written consent.

3. Customer data

You retain ownership of all data you input or upload to the Service ("Customer Data"). You grant Calabash a limited, non-exclusive license to host, process, and transmit Customer Data solely to operate and improve the Service. We do not sell Customer Data and do not train shared machine-learning models on it.

Pilot tenants are hosted in the AWS us-east-1 region by default. EU residency is available on request but not currently enforced automatically; if EU residency is required for compliance, contact us before signing up.

4. Confidentiality

Each party will treat the other's non-public information with the same care it uses for its own confidential information, but no less than a reasonable standard of care. Confidentiality obligations survive termination of the pilot for two (2) years.

5. Warranties & disclaimer

The pilot is provided "AS IS" without warranties of any kind, express or implied. Calabash does not warrant that the Service will be uninterrupted, error-free, or meet your specific needs.

Use of the Service during the pilot is at your discretion and risk. For mission-critical allocation processing, maintain a parallel process until you have validated Terminal against your existing pipeline.

6. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages arising out of or related to the pilot. Each party's aggregate liability for direct damages will not exceed one thousand US dollars ($1,000).

7. Changes to these terms

We may update these pilot terms with at least ten (10) business days notice via email to your tenant admin. Continued use after the notice period constitutes acceptance.

8. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Wilmington, Delaware.
